Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the website edgesys.tech or engaging EdgeSys Technologies for any services. By accessing our website or entering into a service agreement with us, you agree to be bound by these Terms.

1. Acceptance of Terms

By using our website or services, you confirm that you are at least 18 years of age and legally capable of entering into binding contracts. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Our Services

EdgeSys Technologies provides the following services ("Services"):

• Custom web development (websites, web applications, e-commerce)
• Mobile application development (Android, iOS, Flutter)
• Search engine optimisation (SEO)
• Digital marketing (Google Ads, social media, content marketing)
• UI/UX design
• Cloud hosting, deployment, and DevOps
• SaaS software products (EDU360PRO, MEALNIX, ORYX SUITE, ATTO SOFT, FINNET, CLINIC 360)

The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.

3. Client Obligations

You agree to:

• Provide accurate and complete information required for us to deliver the Services.
• Supply necessary content, assets, credentials, and approvals in a timely manner.
• Designate a single point of contact for project communication.
• Review and provide feedback within the agreed timelines. Delays caused by late client feedback may affect delivery schedules.
• Use our Services only for lawful purposes and in compliance with all applicable laws and regulations.
• Not use our Services to create or distribute content that is illegal, defamatory, infringing, or harmful.

4. Payment Terms

Project Fees

All fees are specified in the Statement of Work. Unless otherwise agreed:

• 50% of the project fee is due upon signing the service agreement.
• 25% is due at the midpoint milestone.
• 25% is due upon project completion and delivery.

Invoices & Payment

Invoices are due within 7 days of issuance unless otherwise agreed. Late payments attract interest at 1.5% per month on outstanding amounts. We reserve the right to suspend services on overdue accounts.

Refund Policy

The initial deposit is non-refundable once work has commenced. Refunds for work in progress are at our sole discretion and will be calculated based on work completed. No refunds are issued for completed and delivered work.

Expenses

Any third-party costs (domain registration, hosting, stock images, premium plugins, API subscriptions) will be invoiced separately at cost unless included in the agreed project fee.

5. Intellectual Property

Client-Owned IP

Upon receipt of full payment, you will own the custom code, design assets, and content created specifically for your project ("Deliverables"), excluding any pre-existing materials, open-source components, or third-party assets.

EdgeSys IP

We retain ownership of our proprietary frameworks, tools, libraries, methodologies, and know-how developed independently of your project. These may be used in future projects without restriction.

Open-Source Components

Your project may include open-source components subject to their respective licences (MIT, GPL, Apache, etc.). We will disclose any open-source components used and their licence requirements.

Portfolio Rights

Unless you request otherwise in writing, we reserve the right to showcase your project in our portfolio and marketing materials.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the engagement ("Confidential Information"). This includes business plans, financial data, technical information, and client lists. Confidential Information must not be disclosed to third parties without prior written consent, except where required by law.

This obligation survives the termination of our engagement for a period of 3 years.

7. Warranties & Disclaimers

Our Warranties

We warrant that:

• The Services will be performed with reasonable skill and care.
• Deliverables will substantially conform to the agreed specification at the time of delivery.
• We will promptly address material defects reported within 30 days of delivery at no additional charge.

Disclaimers

Our website and services are provided "as is" and "as available". We do not warrant that the website will be uninterrupted, error-free, or free of viruses. We do not guarantee specific outcomes from SEO or digital marketing campaigns — results depend on many factors outside our control, including search engine algorithm changes.

8. Limitation of Liability

To the maximum extent permitted by applicable law, EdgeSys Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from your use of our Services.

Our total liability for any claim arising from our Services shall not exceed the amount you paid us in the 3 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of these limitations may not apply to you.

9. Termination

Either party may terminate a service engagement with 14 days' written notice. Upon termination:

• You will pay for all work completed up to the termination date, calculated on a pro-rata basis.
• We will deliver all completed work and materials paid for.
• Both parties' confidentiality obligations survive termination.

We may terminate immediately if you breach these Terms or fail to remedy a breach within 7 days of written notice.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kerala, India.

11. Changes to Terms

We may update these Terms from time to time. The latest version will always be available at edgesys.tech/terms-and-conditions. Continued use of our Services after changes constitutes acceptance of the updated Terms.
